1. Introduction

These Terms of Service describe the legally binding agreement between you, the client, and TAGFilms LLC, the provider of film and video production services. The terms apply to your access to and use of this website, to all communications about projects and quotes, and to the performance and delivery of any services you commission from us.

We may refer to TAGFilms LLC as the studio, we, us, or our. We may refer to you as the client, you, or your. A project means any film, video, animation, photography, post production, or related service that you ask us to produce. A quote means the written estimate of scope, timeline, and fees that we provide for a proposed project.

These terms are general in nature. When you engage us for a specific project, the quote and any project agreement you sign supplement these terms. If there is a conflict between these terms and a signed project agreement, the project agreement controls for that project.

2. Agreement to Terms

By accessing this website, submitting an inquiry, accepting a quote, or commissioning a project, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and by our Privacy Policy. If you do not agree with any part of these terms, you should not use the website or engage our services.

If you are entering into an agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. In that case, the terms client, you, and your refer to the entity on whose behalf you act.

Acceptance of a quote in writing, by email, or by the payment of a deposit creates a binding agreement for the project described in that quote, subject to these terms. Until a quote is accepted, no project is scheduled and no obligations arise on either side.

3. About Our Services

TAGFilms LLC provides a full range of film and video production services, including commercial and brand films, corporate video production, documentary production, event and live coverage, animation and motion graphics, and post production and color services.

The precise scope of any engagement is defined by the written quote, which sets out the concept, the deliverables, the timeline, the location, the crew, the fees, and the terms of use. Services that are not listed in a quote are not included unless agreed in writing.

We perform services using professional equipment and trained personnel. We aim to meet the creative direction, quality, and delivery dates agreed with you, and we keep you informed of progress at each stage of production. Where a schedule must change because of circumstances beyond our control, we will notify you as soon as reasonably possible.

4. Eligibility

You must be at least 18 years old to commission a project or to enter into a binding agreement with us. By accepting these terms, you confirm that you meet this requirement. If you are acting on behalf of an organization, you confirm that you have the authority to do so.

We may decline to provide services, or refuse to accept a project, in our sole discretion. Reasons may include scheduling conflicts, content that we are not equipped to produce, potential legal conflicts, or requests that fall outside our ethical standards.

Nothing in these terms grants you the right to use our services for any unlawful purpose, to produce content that infringes the rights of third parties, or to misuse the materials, footage, or intellectual property that we or our clients provide during production.

5. Client Responsibilities

A successful production depends on the active participation of the client. You are responsible for providing accurate and complete information in your brief, for making key decisions within the agreed review periods, and for approving concepts, scripts, and schedules in a timely manner.

You are responsible for securing permissions for locations, products, trademarks, and personnel that appear in your production, except where our quote states that we will obtain them. This includes releases from individuals who appear on camera, clearances for music and stock material, and any permits required at your chosen locations.

You are responsible for providing a suitable contact who is available during production to answer questions and approve creative decisions. Delays caused by the client, including late feedback, unavailable contacts, or incomplete materials, may extend the schedule and may be reflected in adjusted fees, as described below.

6. Project Briefs and Deliverables

Before production begins, we will agree on a project brief that describes the goals, audience, message, style, and technical requirements of the work. The brief becomes the reference point for the entire project, and changes to the brief may change the scope, schedule, and fee.

Each quote lists the specific deliverables that we will provide, such as a hero cut, social cutdowns, broadcast masters, captions, or raw footage. Deliverables are provided in the formats specified in the quote, and any additional formats requested after the quote are treated as additional scope.

We will provide reasonable technical support for the deliverables after final delivery, including assisting with playback issues and confirming that files are formatted for their intended platforms. This support does not include future edits or new versions of the work.

7. Fees and Payment

Fees for each project are stated in the written quote. Quotes are valid for thirty days from the date they are issued, unless the quote states a different period or the scope of the project changes.

Standard payment terms require a deposit before production begins and the balance before final delivery, unless the quote states otherwise. We may invoice at agreed milestones during longer projects. Each invoice is due within the payment period stated on the invoice, which is usually fourteen days.

If an invoice is not paid by the due date, we may suspend work on the project until payment is received. Late payments may accrue interest at the rate permitted by law, and you remain responsible for all reasonable costs we incur in collecting overdue amounts.

If you cancel a project after production has begun, the deposit and any completed work are non refundable, and you are responsible for the reasonable cost of work completed up to the date of cancellation. We will confirm the amount due in writing.

8. Taxes and Additional Costs

All fees are stated in United States dollars. Unless the quote states otherwise, fees do not include sales tax, value added tax, or any other applicable taxes. You are responsible for any taxes that apply to the services, and we will add such taxes to our invoices where required by law.

Quotes may include estimates for expenses such as travel, accommodation, location fees, permits, catering, and equipment rentals. These estimates are based on information available at the time of the quote. If actual expenses exceed the estimate because of changes in circumstances, we will notify you in advance and seek your approval before incurring additional cost.

Changes you request to the location, schedule, crew, or scope after a quote is accepted may result in additional charges. We will provide a written estimate of any additional charges before proceeding, and no extra work will begin without your agreement.

9. Revisions and Approvals

Each quote includes a stated number of revision rounds for each deliverable, typically two. A revision round means a full review and adjustment pass across the agreed deliverable. Feedback requested within a single review period, consolidated into one set of comments, counts as one revision round.

You are responsible for reviewing each deliverable promptly and providing consolidated feedback within the review period stated in the schedule, usually three to five business days. If you do not respond within the review period, we will consider the deliverable approved and proceed to the next stage.

Requests that exceed the included revision rounds, or that materially change the approved brief, concept, or script, are treated as additional scope and may be quoted separately. We will not begin additional work without your approval of the fee.

10. Intellectual Property

Intellectual property rights in the works we create are important to both parties. We define our terms clearly so that ownership and usage rights are understood before production begins.

Upon full payment of all fees due for a project, ownership of the final produced materials, including the finished films and videos, transfers to you, subject to the usage terms in the quote and to the license rights described below. Pre existing material and source assets that we use in the production may remain subject to third party licenses, and you will be informed of any such restrictions.

All underlying creative materials we develop during a project, including concepts, scripts, storyboards, style frames, and production files that are not final deliverables, remain our property. We may retain copies of your final materials for our records, for portfolio use as described below, and for quality assurance purposes.

11. Usage Licenses

The quote specifies the licensed usage of the final materials, including the media, territories, and duration for which they may be used. You may use the deliverables only within the licensed scope. Use beyond that scope requires a separate license and additional fees.

We retain a perpetual, worldwide, royalty free license to display our work in our portfolio, on our website, and in our marketing materials, including use of still frames and excerpts, unless you request otherwise in writing at the time of engagement. Client specific information and confidential materials are excluded from portfolio use.

Third party content used within your production, such as music, stock footage, or licensed talent, is subject to its own licenses. We will identify any such content in the delivery notes, and you are responsible for compliance with the corresponding third party license terms.

12. Delivery of Final Media

Final media is delivered electronically through a secure download link or file transfer service specified in the quote. Delivery is considered complete when we provide you with working access to the files or, where applicable, a physical copy that is in good condition.

We recommend that you download and back up all deliverables promptly. We retain project files for a reasonable period after delivery, which is typically ninety days, and we are not responsible for loss of deliverables caused by client storage, transfer, or third party failure after delivery is complete.

If you require a re delivery or re upload of files after the retention period, we may charge a reasonable fee for locating and preparing those files. We will always make reasonable efforts to assist with archival needs at your request.

13. Confidentiality

We understand that your projects may contain commercially sensitive information, unreleased product details, personal stories, or proprietary strategies. We treat all information you share with us in connection with a project as confidential and use it only for the purpose of performing the services.

Our team members and subcontractors are bound by confidentiality obligations consistent with this section. We will not disclose confidential information to third parties except to the extent necessary to complete the project, to comply with legal requirements, or as otherwise agreed with you in writing.

Confidential information does not include information that is publicly available through no fault of ours, information that was already known to us without restriction, or information that we receive independently from a third party. This section survives the completion or termination of any project.

14. Warranties and Disclaimers

We warrant that the services will be performed in a professional manner consistent with industry standards and with the agreed brief. We warrant that the final deliverables will be free from material defects in production quality and that we have the right to provide the services we agree to perform.

To the maximum extent permitted by law, all services are provided as is and without other warranties of any kind, whether express, implied, or statutory. We disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non infringement, except to the extent they cannot be excluded under applicable law.

We do not warrant that the results of a production, including audience response, sales performance, or viewership, will achieve any particular outcome. Creative work is inherently subjective, and final approval of creative direction rests with you during the review process.

15. Limitation of Liability

To the maximum extent permitted by law, TAGFilms LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with the services, the website, or these terms, regardless of the legal theory on which the claim is based.

Our total aggregate liability to you for all claims arising out of or in connection with a project, whether in contract, tort, or otherwise, shall not exceed the total fees paid or payable by you for that specific project.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. This section allocates risk between the parties and is fundamental to our agreement.

16. Indemnification

You agree to indemnify, defend, and hold harmless TAGFilms LLC and its employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or in connection with the following.

First, your use of the deliverables outside the licensed usage granted in the quote. Second, your breach of these terms or of the Privacy Policy. Third, your violation of any applicable law or the rights of a third party, including claims related to content you provide, locations you secure, or consents you are responsible for obtaining.

We will notify you promptly of any claim covered by this indemnification and cooperate with you at your reasonable request and expense in the defense of such claim. You may not settle any claim without our prior written consent if the settlement would impose an obligation on us or require an admission of liability on our part.

17. Termination

You may terminate a project at any time by written notice to us. In that case, you are responsible for fees for all work completed up to the date of termination, including costs committed for production that cannot be cancelled, as set out in the Fees and Payment section.

We may terminate a project or suspend work immediately by written notice if you fail to pay amounts due, if you materially breach these terms or the project agreement and fail to cure the breach within seven days of notice, or if continuing the project would require us to act unlawfully.

Upon termination, we will stop work, provide you with materials completed to that date where permitted by the agreement, and issue a final accounting of amounts due. Sections that by their nature should survive termination, including intellectual property, confidentiality, liability, and indemnification, remain in force.

18. Governing Law and Disputes

These terms and any project agreements are governed by the laws of the State of Utah, United States, without regard to its conflict of law provisions. This choice of law applies unless a mandatory rule of law in your jurisdiction provides otherwise.

The parties will first attempt to resolve any dispute arising out of or in connection with these terms or a project through good faith negotiation. If the dispute is not resolved within thirty days, either party may escalate the matter through the courts of the State of Utah, and each party consents to the exclusive jurisdiction of the courts located in St George, Utah, for such purposes.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its confidential information, intellectual property, or other rights that would be irreparably harmed by a breach.

19. Changes to These Terms

We may revise these Terms of Service from time to time to reflect changes in our business, our services, or applicable law. When we make changes, we will update the Last updated date at the top of this page and post the revised terms on this website.

Changes take effect when they are posted. For existing projects, the terms in effect at the time the project was accepted will continue to govern that project, unless you and we agree in writing to adopt the revised terms.

We encourage you to review these terms periodically. Your continued use of the website or our services after the revised terms are posted constitutes your acceptance of the changes. If you do not agree with the revised terms, you should stop using the website and notify us if you have an ongoing project.

20. Severability and Waiver

If any provision of these terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent possible and the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely matches the intent of the original.

Our failure to enforce any right or provision of these terms will not be considered a waiver of that right or provision. A waiver of any provision is effective only if it is made in writing and signed by the party against whom the waiver is asserted.

No course of dealing between the parties, and no trade practice, will modify these terms unless reduced to a signed written agreement. These terms may be waived only by an authorized representative of the party granting the waiver.

21. Entire Agreement

These Terms of Service, together with the Privacy Policy, the written quote, and any signed project agreement, constitute the entire agreement between you and TAGFilms LLC regarding your use of the website and the commissioning of projects, and they supersede all prior negotiations, understandings, and agreements.

Electronic signatures and confirmations by email are accepted as valid indications of agreement. Any quote, purchase order, or other document that attempts to add terms or conditions that conflict with these terms will not be binding on us unless expressly accepted in writing by our authorized representative.

You may not assign or transfer any of your rights or obligations under these terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, or sale of assets, provided that the assignee agrees to be bound by these terms.
